Mr. Gay World Delegate Participant:

Dear Delegate:

RE: Memorandum of Understanding between Mr. Gay World (MGW), and yourself as

an official delegate to participate in Mr. Gay World competition

The following is a living and binding agreement that can be amended at any time

only for the betterment of both Mr. Gay World (MGW) and the delegate elect, with

signed acknowledgement of both parties.

This document outlines the terms of agreement between [ Insert Delegates Name &

], hereafter referred to as MGW11 Delegate Elect, and with Mr. Gay World of 1002/

3 Kings Cross Road, Rushcutters Bay 2011, Sydney, NSW, Australia, hereafter

referred to as MGW.

Upon your successful crowing and being awarded the official Mr. Gay World 2011,

MGW will act as the official agent of MGW11 Delegate Elect for the term of date of

signing thru to April 1st, 2012 that include but not limited to:

- all requests for media interviews

- all requests for images including still photography and motion pictures

- all special guest appearances

MGW11 Delegate Elect will act in good faith and represent the brand of Mr. Gay

World in the utmost professional manner that reflect the core values and mission of

Mr. Gay World. MGW11 Delegate Elect understands that Mr. Gay World is a volunteer

role and MGW will not pay a salary nor compensate for loss wages/salary or other

numeration. MGW11 Delegate Elect acknowledges that he will not participate in or

engage in any pornography (still or motion pictures or other media) or escort service

paid or otherwise during his term. In the event of breach of contract MGW11

Delegate Elect will be liable for associated costs in hosting the delegate up to a

maximum of $15,000.00 and will have the title of Mr. Gay World 2011 removed along

with any associated benefits.

Mr. Gay World Minimum Public Appearances:

MGW11 Delegate Elect will participate in the following minimum activities during his

term of Mr. Gay World 2011:

- IDAHO - International Day Against Homophobia May 17, 2011

- Participate in at least one High School presentation on Homophobia

- Participate in at least one Pride Festival or Parade

- Participate in at least one LGBT Community Event outside of Pride

- Participate in at least one Event on each continent:

- Europe (June 2011: EuroPride or other European activity)

- South America (June 2011: Sao Paulo Pride or other South American

activity)

North America (July 2011: Vancouver Outgames Human Rights Conference)

Africa (October 2011): Johannesburg Pride or other African activity)

Public Appearance at next Host City for MGW 2012

Participation at MGW 2012

MGW11 Delegate Elect will maintain a Blog to share his experiences throughout the

year which may include Facebook, Twitter, Flickr, YouTube and/or other social

media.

Terms of Agreement

• The terms of this agreement is from the date of acceptance of both parties through

to April 1st, 2012.

General

• This agreement does not constitute and shall not be construed as constituting a

partnership or joint venture between MGW11 Delegate Elect and MGW.

• This agreement constitutes the entire agreement between MGW11 Delegate Elect

and MGW with respect to the subject matter of this agreement and supersedes all

prior agreements.

• MGW11 Delegate Elect undertakes that any commercial and proprietary

information obtained from Mr. Gay World (MGW) and its

Board of Directors shall be held in strict confidence; this confidentiality undertaking

will survive termination for a period of 2 (two) years.

• MGW retains all rights and privileges of any images, still, motion pictures or

likeness of MGW11 forever.

• MGW11 Delegate Elect agrees that he will not engage and/or compete in unsanctioned

competitions or events without the prior consent of MGW.

• MGW11 Delegate Elect understands that there may be risks involved in the

competition(s) and will carry his own travel and medical insurance at all times.

• This agreement is binding upon both parties and their respective successors.
